I. DEFINITIONS
The terms used in the Regulations mean:
1. ALPHADISCOUNTERS S.A. (hereinafter referred to as the “Company”) Republic of Greece with TAX NUMBER 801968309 and no. REGISTRATION NUMBER – GEMI 167239301000.
2. Regulations – this document.
3. Opportunity Zone – AlphaDiscounters S.A. section where Offers qualified for the Opportunity Zone Program are presented.
4. Opportunity Zone Program – a cooperation program for Sellers who meet the criteria specified in these Regulations, consisting in the promotion of specific Goods as part of the Offer.
5. Special markings of Offers – specific types of graphic distinctions visible on the Offer covered by the Opportunity Zone Program.
6. AlphaDiscounters – an open online trading platform marketplace where Transactions are made and other services related to Transactions are provided, run in the Alphadiscounters.com internet domain.
7. Turnover – the User’s monthly gross revenues from the sale of Goods on Allegro.
8. User – a Seller on AlphaDiscounters who has a Company Account and meets the criteria on this Account qualifying him or her to participate in the Opportunity Zone Program.
9. Partner – Seller on AlphaDiscounters, concluding an Agreement with the Company regarding his participation in the Opportunity Zone Program.
10. Agreement – an agreement between the Partner and the Company for the use of the services described in the Regulations.
11. Offer – a proposal to conclude a contract for the sale of Goods on the terms specified by the Seller, in particular including the price and description of the offered Goods, using and through the functionalities available on AlphaDiscounters.
Capitalized terms not listed above have the meaning assigned to them in AlphaDiscounters
regulations.
II. GENERAL CONDITIONS OF PARTICIPATION IN THE CHANCE ZONE PROGRAM
1. The condition for qualifying the User to participate in the Opportunity Zone Program is:
a. having an active Company Account on AlphaDiscounters,
b. configuring at least one payment method available on AlphaDiscounters,
c. having a rating within the Company Account referred to in point a above at the level of sales quality on a scale of at least "Neutral",
d. no arrears owed to the Company for using the services available on AlphaDiscounters,
e. acceptance of the Regulations.
2. The criteria referred to in section 1 above, are verified by the Company at the time of making a decision regarding the selection of a given Good as part of the User’s Offer intended for the Bargain Zone Program.
3. Regardless of the User's fulfillment of the conditions set out above, in justified cases, the Company reserves the right to refuse to qualify the User for the Opportunity Zone Program when:
a. does not comply with the provisions of the Regulations or AlphaDiscounters regulations,
b. performs activities that result in loss of confidence in him, including failure to fulfill previous obligations related to participation in the Program.
The Company will justify its decision at the User's request.
4. For testing purposes, the Company is entitled to invite AlphaDiscounters Users who do not meet the criteria referred to in the Regulations to participate in the Opportunity Zone Program for a fixed period of no more than 3 months.
5. Apart from the Goods listed in Appendix No. 1 to the AlphaDiscounters regulations (Prohibited and conditionally permitted Goods), the following cannot be promoted under the Program:
a. access to accounts of digital distribution platforms such as Steam, Origin, uPlay, GOG, Xbox Live, PlayStation Store,
b. infant formulas and accessories, medicines and alcohol,
c. Goods sent from outside the European Economic Area, without the possibility of issuing a fiscal document in Greece,
d. in the Games category, only Goods sold under a full ESD license are eligible for promotion.
III. FORM OF OFFER PROMOTION
1. As part of the Opportunity Zone Program, the Partner has the opportunity to distinguish their Offers using the following Special Offer markings:
a. Bargain – a marking given to Offers in which the Partner grants a discount on the purchase of Goods in this Offer. The value of the discount granted is expressed in graphic form "%". The Partner should provide a discount on the lowest price of the Goods in the Offer calculated from the last 30 days (the price before the discount will be visible in the Offer as a crossed out price). The Partner may impose a limit on the number of Goods that the Buyer may purchase under a given Offer in a given period;
b. “Smart Plus! "opportunity" – a designation given to Offers in which the Partner grants a discount on the purchase of Goods in this Offer and provides obligatory delivery in the form of AlphaDiscounters Smart Plus! (in the case of Offers in which, due to the characteristics of the product, it is not possible for the Partner to offer delivery in the form of AlphaDiscounters Smart Plus!, the Partner is obliged to offer another free form of delivery for Buyers in this Offer) for the entire duration of the Agreement regarding this Special Mark. The Partner should provide a discount on the lowest price of the Goods in the Offer calculated from the last 30 days (the price before the discount will be visible in the Offer as a crossed out price). A purchase in the Offer can only be made by a Buyer who has an active AlphaDiscounters Smart Plus! service. The Partner may impose a limit on the number of Goods that the Buyer may purchase under a given Offer in a given period;
c. “Quantity discount” – a designation given to Offers in which the Buyer can purchase the Goods at a lower price by purchasing a larger quantity of the Goods as part of one Transaction in the same Offer;
d. “Hit” – marking given to Offers that achieved the minimum number of Goods sold within 30 days before the date of notification, based on the price threshold indicated below for a given Good within this Offer:
-Goods price from 1 euro to 23 euros – at least 25 pieces of Goods sold,
– Price of the Goods from 23 euros to 115 euros – at least 12 pieces of the Goods sold,
– Price of the Goods from 116 euros to 700 euros – at least 5 pieces of the Goods sold,
– Price of the Goods above 705 euros – at least 3 pieces of the Goods sold,
The price of the Goods referred to in the above price thresholds is calculated based on the average selling price (ASP) from the last 30 days before the date of notification.
g. “New” – marking given to Offers published on AlphaDiscounters no later than within 6 months from the date of submission.
2. AlphaDiscounters reserves that Special Offer markings: “Smart Plus! Bargain”, “Quantity discount” cannot be combined with each other.
3. As part of the Program, the Partner receives the opportunity to participate in additional promotional campaigns carried out by the Company within the Opportunity Zone. The Company reserves the right to assign other Offer markings that will refer to time-limited promotional campaigns, which it will inform about in separate communications. As part of the training places for Users located on AlphaDiscounters websites (e.g. AlphaDiscounters help, AlphaDiscounters academy, website for sellers), the Company additionally informs Partners about the detailed requirements relating to submitting Offers to a specific different Offer marking.
4. As part of the Opportunity Zone Program, the Company may promote the Offer:
a. in the Allegro Opportunity Zone section in the appropriate product category,
b. in promotional places on AlphaDiscounters, made available for the Opportunity Zone Program,
c. in e-mails sent to Buyers,
d. on product lists within categories, depending on the Special Offer marking,
5. The partner can purchase an additional service in the so-called “Premium Bargain Zone”, which involves promoting the Offer by displaying it in specially dedicated places on AlphaDiscounters, where Goods participating in the Bargain Zone Program are particularly exposed.
6. Due to limited availability of the service referred to in section 5 above, its conditions and possible implementation deadlines are determined each time by the Parties in separate agreements.
7.By consenting to the promotion of Goods in the “Premium Opportunity Zone”, the Partner declares that he authorizes the Company to issue invoices without the recipient’s signature, and the Partner, by accepting the terms of the Regulations, accepts the electronic sending of invoices and correction invoices issued by the Company. The provisions of Annex 4 to the AlphaDiscounters regulations shall apply accordingly. Amounts due to the Company for services provided within the “Premium Opportunity Zone” will be settled on a separate invoice, which the Partner should pay in accordance with the terms specified in the AlphaDiscounters regulations.
IV. SUBMISSION AND SELECTION OF OFFERS FOR THE OPPORTUNITY ZONE PROGRAM
1.Partners meeting the criteria set out in Art. II and III above, may submit to the Company their Offers that are to be covered by the promotion in the Bargain Zone, however, this only applies to active Offers currently published on AlphaDiscounters.
2.The selection of Offers intended for the Program is based on the Company’s decision. The decision in question is based in particular on the verification of the attractiveness of the price of the Goods in the Offer in relation to market prices and prices on AlphaDiscounters, prevailing sales trends in AlphaDiscounters categories, including seasonality, uniqueness of the Goods, sales potential of the Goods on AlphaDiscounters, recognition and frequency of searching for the Goods by Buyers, quality of the Goods (including the quality of the material from which they are made), appropriate certificates held by the Goods, delivery conditions, warranty period, quantity of the Goods in the Offer, quality of the description, photos, Offer template, value of products added to the Offer as a free gift, specified in User Transactions. At the same time, as part of the process of selecting Goods for promotion, the Company takes into account the criteria of Special Offer markings referred to in Art. III above.
3.By consenting to the promotion of Goods as part of its Offers in the Bargain Zone, the Partner declares in particular that:
a. the materials provided by him will not violate the rights or goods of third parties, and their content will be consistent with applicable law,
b. has the appropriate authorization to conclude the Agreement,
c. his Offer is consistent with the facts and is not misleading,
d. trading in the Goods does not violate the provisions of applicable law or the rights of third parties and that he is entitled to conclude and perform the contract for the purpose of which the Offer was issued,
e. all Goods offered by the Partner are free from physical and legal defects,
f. prices indicated by the Partner in the submitted Offer,
g. accepts and consents to the reduction of the price of the promoted Goods by the Company, in accordance with its application and data completed in the application form.
4.The Company reserves that the reduction in the price of the promoted Goods referred to in point 6 points g above will not take place if the Company limits the functionality of the User Account for a specified or indefinite period and the required parameters of the Goods are not completed, including: such as complaints, warranty, returns, delivery and mandatory item parameters.
V. DURATION OF THE AGREEMENT
1. The Agreement under the Program is concluded separately for each Offer and its duration depends on the type of Special Offer marking:
a. Smart Plus! – The contract is concluded for a fixed period of 90 days. In the event that, as a result of a change in the price of the Goods in the Offer, it no longer meets the criteria referred to in Art. III point 1, The special marking of the Offer may be automatically disabled (this is a technical activity in the system tool performed on the basis of re-verification of the Offer by the Company), which is tantamount to immediate termination of the Agreement for participation in the Program for this Offer;
b. “Hit” – The Agreement is concluded for an indefinite period with the assumption that after 30 days of promotion, the Company will again verify the Offer in terms of the criteria of this Special Offer marking (indicated in Article III point 1). In the event of a negative result of the verification referred to in the previous sentence, the Special marking of the Offer will be automatically deactivated, which is tantamount to immediate termination of the Agreement for participation in the Program for this Offer. If verified successfully, the Offer may be promoted for the next 30 days. The verification process will take place regularly, once a month;
c. “New” – The Agreement is concluded for a fixed period of maximum 6 months with the understanding that after 30 days of promotion, the Company will re-verify the Offer in terms of the criteria for this Special Offer marking (indicated in Article III point 1). In the event of a negative result of the verification referred to in the previous sentence, the Special marking of the Offer will be automatically deactivated, which is tantamount to immediate termination of the Agreement for participation in the Program for this Offer. If verified successfully, the Offer may be promoted for the next 30 days. The verification process will take place regularly, once a month;
d. “Quantity discount” – the contract is concluded for an indefinite period.
2. The Partner may, at any time and without incurring additional fees, disable Special markings in the Offers covered by the Program from the “Campaigns and Programs” tab by selecting the “Manage participation” option.
3. At any time, the Company is entitled to verify the Partner’s Offer, based on the criteria referred to in Art. II and III above. If the Partner’s Offer does not meet the criteria referred to in the previous sentence, the Company may ask the Partner to update it and adapt it to the criteria contained in the Regulations. Otherwise, the Company is entitled to decide to terminate the promotion of the Offer in the Opportunity Zone Program earlier, which is tantamount to immediate termination of the Agreement under the Program for this Offer.
4. The Company may at any time terminate the Agreement with the Partner with immediate effect or exclude him/her for a specified or indefinite period from participation in the Opportunity Zone Program, depending on the scale of the following violation, if:
a. the activities carried out by the Partner on AlphaDiscounters will harm other AlphaDiscounters Users or the Company,
b. The Partner will be in arrears with payments for services provided by the Company for at least 2 settlement periods,
c. the Partner violates the provisions of the Regulations or AlphaDiscounters regulations,
d. The Partner performs activities that result in a loss of trust in him, including when he fails to fulfill his obligations related to participation in the Opportunity Zone Program.
VI. FEES
1. The Company, regardless of the fees provided for in AlphaDiscounters, charges the following fees and commissions for services related to the promotion of Offers in the Bargain Zone Program:
a. daily fee – for the Special marking visible in the Offer, charged on each day of the Offer promotion in the Opportunity Zone Program,
b. additional commission on the sale of Goods in Offers covered by the Bargain Zone Program. on the terms described in Annex 1 to the Regulations.
2. The Company may charge fees for other services provided within the Opportunity Zone, as well as grant temporary discounts on commissions or fees provided for in the Opportunity Zone Program as part of promotional campaigns organized for Partners. The amount of fees and discounts referred to in the previous sentence is specified each time in the regulations of a given promotional campaign or under separate agreements.
VII. PERSONAL DATA
1. The administrator of personal data of Program Partners within the meaning of Art. 4 point 7 of the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Regulation on data protection) in connection with their participation in the Program is the Company.
VIII. FINAL PROVISIONS
1. Under the Opportunity Zone Program, the Partner receives from the Company, by e-mail and telephone, information about AlphaDiscounters, including information about products, services, benefits, promotional campaigns, events (including workshops and training), campaigns and offers related to the AlphaDiscounters platform and the Company’s activities.
2.All complaints regarding the Program should be submitted within 14 days from the date of the event giving rise to the complaint via the contact form.
3.The Company may decide to terminate the Opportunity Zone Program at any time, provided that its termination takes place at least one month in advance.
